By signing up to be an Affiliate in the helpbudy Partner Program (“Partner Program”) you agree to be bound by the following terms and conditions (“Terms of Service”).
helpbudy reserves the right to update and change these Terms of Service from time to time without notice. Commission amounts may change at any time during the Partner Program, upon prior notice by helpbudy of thirty (30) days. Any new features that enhance the current Partner Program, including the release of new tools and resources, shall be subject to the Terms of Service. Continued use of the Partner Program after any such changes shall constitute your acceptance and consent.
Violation of any of the terms below will result in suspension or termination of your Account and/or forfeiture of any outstanding affiliate commission payments earned during the period of the violation.
We will grant to you a non-exclusive, limited permission to use our trademarks, service marks, logos, trade names and other branding features as designated by us and as available on the Affiliate Platform in where you are to respect our guidelines, link styles, and graphical artwork to use in linking to helpbudy. Any goodwill accruing to our trademark from use hereunder shall inure to our sole benefit as the sole trademark owner In this respect and solely for the purposes authorized by this Partner Program, you are permitted to place links, banners, or other graphics we provide with your Affiliate Link on your site, in your emails, or in other communications. You acknowledge that you obtain no intellectual property rights or licenses by these Terms of Service except for those licenses expressly granted herein
helpbudy charges a 20% commission from the final price per order regardless the amount. Commission fee applies to both cash and mobile money. Commission doesn’t apply to tips. Commission is calculated automatically and deducted from earnings excluding VAT. You can see the sum of the commission fee charged in every booking. Commissions are only paid on business generated through helpbudy app. Service Providers are paid by mobile money transfer with 24 hours due to bulk payments. You need to provide us with your account information to receive your money.
4. Identifying yourself as a helpbudy AffiliateYou may not issue any press releases with respect to your participation in the Partner Program without our written consent; such action may result in your termination from the Partner Program. In addition, you may not in any manner misrepresent or embellish our relationship (i.e. represent that you develop our products, that you are part of helpbudy, or express or imply any relationship or affiliation between us except as expressly permitted by these Terms of Service) including by expressing or implying that we support, sponsor, endorse, or contribute money to any cause.
5. Customers or Marketplace leakageCustomers who use our platform through this Partner Program is deemed to be our customers. Accordingly, all of our rules, policies, and operating procedures concerning customer orders, customer service, and service sales will apply. No marketplace leakage is acceptable (i.e., conducting business with our users or customers off our platform) if found trading outside of the helpbudy platform will resolve in immediate termination.
6. Compliance with LawsAs a condition to your participation in the Partner Program, you agree that while you are a Partner Program participant you will comply with all laws, rules, regulations, orders, licenses, permits, judgments, decisions or other requirements, whether they are now in effect or later come into effect during the time you are a Partner Program participant. You also agree that as a condition of your participation in the Partner Program you will comply with all applicable laws that govern marketing email, including, but not limited to, antispam and data protection laws in effect.
7. TermThe term will begin upon our acceptance of your Partner Program application and will end when terminated by either party. Either you or we may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination. Upon the termination of this Agreement for any reason, you will immediately cease use of, and remove from your device, all links to any Affiliate Platform, and all of our trademarks, trade dress, and logos, and all other materials provided by or on behalf of us to you pursuant hereto or in connection with the Partner Program. helpbudy reserves the right to end the Partner Program at any time. Upon program termination, helpbudy will pay any outstanding earnings accrued not in violation of these Terms of Service.
8. Terminationhelpbudy, in its sole discretion, has the right to suspend or terminate your participation in the Partner Program, or any other helpbudy service, for any reason at any time. Such termination will result in the deactivation of your Account, and the forfeiture and relinquishment of all potential or to¬ be¬ paid in your Account in violation of these Terms of Service
9. Relationship of PartiesYou are an independent contractor, and nothing in these Terms of Service will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between us. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or social media platforms otherwise, that reasonably would contradict anything in these Terms of Service.
10. Disclaimerswe make no representation that the operation of the platform will be uninterrupted or error¬ free, and we will not be liable for the consequences of any interruptions or errors. However, we encourage partners to send a report.
1. We have enabled customers to pay for Service via cash and mobile money, carrier billing and other payment methods directly in the helpbudy App (i.e. In-app Payment). You hereby authorize us as your commercial agent to receive the fees paid by the customer via In-app Payment and to forward relevant funds to you. Any payment obligation made by the customer via the In-app Payment shall be considered fulfilled as of the time that the payment has been made.
2. You will not refuse payment by the customer via the In-app Payment, or influence the customer against the use of the In-app Payment. In case you refuse to accept an In-app Payment without just cause, we shall be entitled to charge you a contractual penalty in the amount of ¢50 (Fifty Ghana Cedis) for every refusal and/or block your right to use the helpbudy Services in case of repetitive behavior.
3. helpbudy reserves the right to distribute promo code to customers at our discretion on a per promotional basis. You are required to accept the use of promo code only when the customer applies the code in-app to a trip using online payment. Promo codes may not be applied to cash paid service. If the use of promo codes is suspected as being fraudulent, illegal, used by a service provider in conflict with our Terms and Conditions relating to promo code use, then the promo code may be canceled and the outstanding amount will not be reimbursed by helpbudy to the service provider.
4. You are entitled to review In-app Payment reports in the helpbudy service partner App. The reports will show the amounts of the In-app Payments brokered in the previous week as well as the withheld amounts of the helpbudy fee. You must notify us of any important circumstances which may affect our obligations to collect and distribute the Fares paid via In-app Payment.
5. We are not obliged to pay you the cost due from the customer if the In-app Payment failed because customer’s dose not have money in wallet or other payment is cancelled or is unsuccessful for other reasons. In such case we will help you in requesting the cost due from the customer and shall transmit it to you once the customer has made the requested payment.
6. Please note that we will set off any cost paid via In-app Payment against the amounts that you are obliged to pay to us (i.e. helpbudy fees and contractual penalties). We reserve the right to fulfil any of your financial liabilities, in which case we will acquire the right to submit a claim against you. We may set off any of your financial liabilities against financial liabilities that you may have against us.
7. If we are not able to pay the money to you due to you not including your mobile money account details in your service provider´s account or if the account details have been noted incorrectly, then we will hold such payments for 180 days. If you do not notify us of the correct account details within 180 days from the date that the right to claim such payments has been established, your claim regarding the payment of the money not transferred to you shall expire.
